(“Calecim Professional”, “CALECIM”, “we”, “us” or “our”) . calecimpro.com is a business-to-business, professional-only portal. Products made available through this website are intended solely for purchase by qualified professionals, clinics, salons, practitioners, and authorized resellers acting in the course of business, and not for consumer purchase.
SECTION 1 – ONLINE STORE TERMS & PROFESSIONAL STATUS
By agreeing to these Terms, you represent and warrant that:
- You are acting in a professional and commercial capacity.
- You have authority to bind the business on whose behalf you are purchasing.

Quality Control: You will maintain professional standards of storage and handling as specified by CALECIM to ensure product efficacy and patient safety.

Authorized Use: You will use and resell CALECIM® products only in accordance with applicable laws and these Terms.
SECTION 2 – GENERAL CONDITIONS
We reserve the right to refuse service or cancel orders where we have reasonable grounds to believe a breach of these Terms has occurred. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the service except as expressly permitted under these Terms.
SECTION 3 – BILLING, ACCOUNTS AND ORDERS
We reserve the right to refuse, limit, or cancel orders that, in our reasonable sole discretion, appear to be placed by dealers, resellers, or distributors who intend to engage in unauthorized diversion or marketplace distribution.
SECTION 4 – PRODUCT WARRANTY & LIMITATION OF LIABILITY
4.1 Limited Warranty: CALECIM warrants the quality of products only when sold through authorized professional channels.
4.2 Warranty Voidance: Any CALECIM® product resold via unauthorized third-party marketplaces (e.g., Amazon, eBay) is not covered by any warranty or quality guarantee. Any warranty, liability or indemnity shall be excluded to the maximum extent permitted by the applicable law.
4.3 Indemnification: You agree to indemnify, defend, and hold harmless CALECIM Parties from and against any claims, losses, or damages arising out of your use, resale, or promotion of products, any breach of terms, or any injury suffered by a client arising from your acts or omissions.
SECTION 5 – PROHIBITED USES
In addition to other prohibitions, you are prohibited from using the site or its products for any unlawful purpose, to infringe upon intellectual property rights, to mislead consumers as to your affiliation with CALECIM, or to bypass the clinical/professional consultation intended for these products.
SECTION 6 – B2B RESELLER TERMS, AUTHORIZED CHANNELS & ANTI-DIVERSION
6.1 Permitted Channels: You may resell CALECIM® products only from your own physical place(s) of business (clinics/salons) and/or through an online website wholly owned and operated by you that provides access to professional consultation.
6.2 Prohibited Channels (Marketplace Ban): You must not, directly or indirectly, sell, list, or facilitate the sale of CALECIM® products on third-party marketplaces, including but not limited to Amazon, eBay, Shopee, Lazada, Walmart Marketplace, or TikTok Shop.
6.3 Pricing Autonomy: Nothing in these Terms restricts your freedom to set your own resale prices. However, CALECIM reserves the right to cease supply to any account that materially diminishes the brand’s positioning.
6.4 Liquidated Damages (Anti-Diversion): Where permitted by law, you agree to pay liquidated damages equal to US$10,000 per breach incident or the total net purchase value of all products purchased in the preceding twelve (12) months, whichever is greater.
6.5 Audit Rights: Upon reasonable suspicion of diversion, we may request sales records. Failure to cooperate within 14 days shall be deemed a material breach.
6.6 Territorial Sales Restrictions: You may sell CALECIM® products only within the territory or country in which you are authorised to operate. Exporting products outside your territory without prior written consent is prohibited.
SECTION 7 – GOVERNING LAW & JURISDICTION
These Terms are governed by and construed in accordance with the laws of Singapore. Any dispute shall be referred to and finally resolved by the exclusive jurisdiction of the courts of Singapore.
SECTION 9 – IP BRAND AND CONTENT USE
All CALECIM IP is the exclusive property of CALECIM or its licensors. Subject to compliance, CALECIM grants you a limited, non-exclusive, revocable licence to use CALECIM IP solely for promoting and reselling authorised products. You must not modify CALECIM IP or make efficacy claims beyond those expressly authorised.
